An Independent private company
1/ The client is engaging Tourist Information Centres Ltd (an independent company) T/A TICwebshops, TICwebdesigns and websitegrants.com, hereinafter referred to as”TIC” as an independent contractor. By instructing TIC to undertake any work it shall be deemed conclusive evidence of the acceptance by the client of all the terms & conditions below.
2/ Any variation to these terms & conditions shall be inapplicable unless agreed in writing with TIC.
3/ TIC reserve the right to refuse, amend, withdraw, suspend services, or otherwise deal with all webshops/websites under their control at their absolute discretion if the client is acting outside these terms & conditions
4/ Any Subsidy, Grant, or Discount is provided solely by TIC to be used exclusively for the provision of a Webshop/website.
5/ The client warrants that all text, graphics, photos, designs, music and trademarks supplied for inclusion comply with the British Code of Advertising Practice and do not contravene any of The Trade Descriptions Act 1968. The Client also guarantees full ownership and / or permission from the rightful owner for their use.
6/ TIC will endeavour to provide the client with a Webshop/website hosted for 24 hours per day, TIC does not accept responsibility for down time, link or email failures.
7/ TIC cannot influence or be responsible for the sales performance of, traffic to, or position in search engines, of a Webshop/website. The Client is solely responsible for the profitability of the Webshop/Website.
8/ The client will remain the registrant of a transferred domain name It is the clients responsibility to arrange the ”tag transfer” or “auth code” from their current registrar. Delay could result in an alternative domain name being used until transfer is completed. All costs associated with transfers are outside this agreement..
9/ TIC will remain the registrant for the duration of this agreement of all domain names registered as part of the Webshop/website package.
10/ Cancellation of this agreement will be subject to a notice payment of 6 months management charges provided a minimum of 24 months of the agreement has lapsed.
11/ Monthly payments for the management charges will commence approximately 3 weeks from the first Proof being delivered. At all times clients with Websites must remain 5 months of the management fee in front, referred to as the deposit. Should the Standing Order payment not be paid by the nominated bank then the monthly amount will be charged to any credit or debit card provided by the client.
12/ Interest will be charged at the rate of 8% over base rate per month on all sums owed at any time by the client in excess of TIC stated terms of payment.
13/ At the end of the stated period (60 Months) the monthly management charge will automatically be renewed for the same time period at a monthly rate with an increase not exceeding 25% of the original charge. Three months notice in writing prior to the end of this agreement, must be given if extension is not required.
14/ If you break the terms of this agreement and fail to comply with a default notice sent to you in respect of that breach, we may require you to pay us immediately the whole of the remaining management charges together with all outstanding debts.
15/ At the end of the period (60 Months) and not at any other period, if clause 13 is not enacted, the Domain Name together with the Webshop /website will pass to the client, provided all terms & conditions of the agreement have been complied with.
16/ A Fee of £100 will be charged on the Transfer at the end of this agreement or on transfer of this agreement to a new client, provided that the new client agrees to take over the outstanding management charges and other responsibilities posed by this agreement to the satisfaction of TIC.
17/ We may assign or transfer our rights and / or obligation under this agreement. If we do so, your rights under this agreement will not be reduced.
18/ All artwork, photographs, films, or other property delivered by the client to TIC is done so at the client’s risk.
19/ Every effort will be made to carry out the agreement but its performance is subject to cancellation by TIC or to such variation as TIC may find necessary, without liability to TIC as a result of any Act of God, Strike, Terrorism, dispute, Fire, Flood, Legislation or causes beyond the control of TIC.
20/ A minor change (4 in any one month) is work that will take under ¼ of an hour to complete, TIC will endeavour to complete all minor changes within 72 working hours. Major changes of text and pictures will be undertaken on up to six occasions each year. “14 days’ notice of a major change is required. Major changes in excess of this or Re-Designs will be charged at the normal commercial rate.
21/ TIC will always try to avoid programming / text errors and or omissions. Should they occur TIC cannot accept any liability. It is the client’s responsibility to proof read any alterations and notify TIC of any errors or omissions.
22/ Products placed on a Webshop are your sole responsibility You undertake by the signing of this agreement that you will comply with all legislation relative to that product. TIC reserves the right to remove any product it deems unlawful, or of a low moral standard.
23/ TIC is not responsible in any way for any payments made to you, by your customers, or loss of any products in your dealing with your customers.
24/ You are solely responsible on a Webshop for the placement of all products, descriptions, and photographs. You can place up to a maximum of 500 products for display on your Webshop. This can be increased by a further 500 products at the maximum cost of £25.00 per month if taken up prior to the end of the 60 month period.
25/ TIC will provide ½ a day on site training (Maximum of 4 Hours) for up to a maximum of 4 people within these hours. Repeat training will be charged at the rate of £50 per hour less 25%.
26/ English Law shall apply to this agreement, unless you signed whilst resident in Scotland, in which case Scottish law will apply.
